Terms of Service

These Terms of Service ("Terms") govern your use of Tenon (the "Service") operated by Tenon ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance

You must be 18 years or older and legally able to form a binding contract to use the Service. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Description of Service

Tenon is a cloud-based construction project management SaaS tool. Features include project tracking, invoicing, document management, team collaboration, and related tools. The Service is provided on a subscription basis.

3. Subscriptions & Billing

The Service is offered on a paid subscription basis with a 14-day free trial. After the trial, continued use requires a valid payment method. Subscriptions auto-renew unless cancelled before the renewal date. All prices are in Canadian dollars and exclude applicable taxes. We use Stripe for payment processing; your card details are never stored on our servers.

Refunds are evaluated on a case-by-case basis. Contact legal@usetenon.com within 7 days of a charge for refund requests.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Reverse-engineer, decompile, or copy the Service
• Use the Service to transmit spam, malware, or harmful content
• Attempt to gain unauthorized access to systems or data
• Resell or sublicense the Service without written consent

5. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms. We collect and process data in accordance with PIPEDA (Canada's Personal Information Protection and Electronic Documents Act) and applicable Quebec privacy laws (Law 25).

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Tenon and protected by Canadian and international copyright, trademark, and other IP laws. You retain ownership of all data and content you upload to the Service.

You grant us a limited, non-exclusive license to store, process, and display your content solely as needed to provide the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be error-free, uninterrupted, or completely secure.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. You may export your data within 30 days of termination; after that, data may be permanently deleted.

10. Governing Law & Disputes

These Terms are governed by the laws of Quebec, Canada, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Quebec, Canada, except that either party may seek injunctive relief in a court of competent jurisdiction.

11. Changes to Terms

We may update these Terms from time to time. We'll notify you via email or in-app notice at least 14 days before material changes take effect. Continued use after changes constitutes acceptance.
